Terms of Service

These Terms of Service ("Terms") govern your use of the services provided by SEMICOLON d.o.o. ("we", "us", or "Semicolon"). By using our services, you agree to these Terms.

1. Services

Semicolon provides:

• Custom website design and development
• Website hosting services
• Domain registration assistance
• Ongoing maintenance (optional)

2. Our Process

We build demo websites proactively for potential clients. You can review the demo before making any commitment. There is no obligation until you decide to proceed with a purchase.

3. Payment Terms

Additional payment terms:

• All prices are in EUR
• Payment via bank transfer or agreed method
• Invoices issued with 8-day payment term
• Late payments may incur additional fees

5. Refund & Cancellation Policy

No Refunds: Since you review and approve the demo website before purchase, we do not offer refunds after payment. You have full opportunity to evaluate the website before committing.

Cancellation:

• You may cancel before the first payment with no obligation
• After 50% payment: deposit is forfeited if project is cancelled
• Work completed up to cancellation remains property of Semicolon

6. Intellectual Property

Before full payment:

• All designs, code, and content remain property of Semicolon d.o.o.
• You receive preview/demo access only
• No license to use, modify, or distribute

After full payment:

• Full ownership transfers to you
• You receive all source files
• We retain the right to showcase work in our portfolio (unless agreed otherwise)

Third-party assets (stock images, fonts, plugins) are subject to their respective licenses. You are responsible for ongoing license compliance.

7. Your Responsibilities

You agree to:

• Provide accurate business information
• Supply necessary content (text, images, logos) in a timely manner
• Review and provide feedback within agreed timeframes
• Ensure you have rights to provided content
• Maintain valid contact information

8. Website Hosting

Basic hosting includes:

• Standard bandwidth allocation
• Shared hosting environment
• Regular backups
• Security updates

Fair use policy: Hosting is for the commissioned website only. Excessive resource usage may require a plan upgrade. No illegal content, malware, or spam is permitted.

Renewal: Hosting renews annually. You will be notified 30 days before renewal. Non-renewal may result in website takedown.

9. Warranty & Support

Initial support period: 30 days of bug fixes after launch. This does not include new features or content changes.

No warranty for:

• Third-party service failures
• Changes made by you or third parties
• Issues caused by hosting changes you make

10. Limitation of Liability

• Maximum liability is limited to the amount paid for services
• We are not liable for indirect, consequential, or lost profit damages
• We are not liable for third-party service disruptions
• We are not liable for business decisions based on the website

11. Confidentiality

Both parties agree to keep confidential information private. This does not apply to publicly available information. Confidentiality obligations survive termination of the agreement.

12. Termination

We may terminate if:

• You breach these terms
• You fail to make payment
• You provide illegal or harmful content

Effect of termination:

• Unpaid work remains Semicolon property
• You lose access to hosting if unpaid
• Confidentiality obligations survive

13. Governing Law

These Terms are governed by the laws of the Republic of Croatia. Any disputes will be resolved in the courts of Pula, Croatia.

14. Changes to Terms

We may update these Terms with 30 days notice. Continued use of our services constitutes acceptance of the updated Terms. Material changes will be communicated via email.
